Aryna Terms of Service

1.  Acceptance of these Terms

By creating an Aryna account, connecting a social-media profile, installing an Aryna application, or otherwise using any Aryna website, mobile or desktop application, API or plug-in (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”), our [Privacy Policy], and our [Acceptable-Use Policy] (“AUP”), each incorporated here by reference. If you do not agree, do not access or use the Services.

2.  Eligibility & Account Registration

  • Age & capacity. You must be (a) at least 16 years old or the digital-consent age in your jurisdiction (whichever is higher) and (b) legally capable of forming a contract.
  • Authority. If you open an account on behalf of a company or other entity, you represent that you have authority to bind that entity; “you” then refers to the entity.
  • Security. Keep your credentials confidential and notify Aryna immediately of any unauthorised use. You are responsible for all activity on your account.

3.  Subscriptions, Trials & Billing

  1. Plans & pricing. Some features require payment as described on the Aryna pricing page. Prices exclude taxes unless stated otherwise.
  2. Auto-renewal. Paid subscriptions renew automatically for the same term unless cancelled before the renewal date.
  3. Trials & promotions. Any free or discounted trial converts to a paid plan at standard rates unless you cancel before the trial ends.
  4. Refunds. Except where required by law, payments are non-refundable.
  5. Upgrades & downgrades. Mid-cycle plan changes take effect immediately; charges are prorated.

4.  Your Content & Licences

  • Ownership. You retain all rights to prompts, text, images, videos, metadata and other content you upload, provide or generate using the Services (“User Content”).
  • Licence to Aryna. You grant Aryna a worldwide, non-exclusive, royalty-free licence to host, process, copy, display and transmit User Content solely to operate, secure and improve the Services, including optional model-training if you have enabled that setting.
  • AI outputs. Content generated by Aryna’s AI models (“Outputs”) may not be unique and must be reviewed by you for accuracy, originality, legality and platform compliance before publication.
  • Content disclosure. Where required by law (e.g., EU AI Act Art. 50), Outputs may include machine-readable markers identifying them as AI-generated.

5.  Prohibited Conduct

You must not (a) violate any law or third-party right; (b) upload or generate content prohibited by our AUP; (c) attempt to circumvent security or misuse the Services; (d) scrape or reverse-engineer the Services; or (e) interfere with other users. Breach may result in immediate suspension or termination.

6.  Intellectual-Property Rights

Aryna and its licensors own all rights in the Services, including software, models, interfaces and trademarks (“Aryna IP”). Except for the limited licence granted in Section 4, these Terms do not transfer any Aryna IP to you.

7.  Third-Party Services

Connecting a social-media account or using a third-party plug-in may require acceptance of that provider’s terms. Aryna is not responsible for those services.

8.  Privacy & Data Processing

Our Privacy Policy explains how we collect, use and share personal data. Where required (e.g., GDPR/UK GDPR), a separate Data-Processing Agreement (DPA) governs Aryna’s role as processor.

9.  Security

Aryna uses TLS 1.3, encryption-at-rest and least-privilege access controls. You acknowledge that no online service is completely secure and use the Services at your own risk.

10.  Changes to the Services

Aryna may modify or discontinue features at any time. Material changes that negatively affect paid functionality will be announced 30 days in advance via email or in-product notice.

11.  Term & Termination

  • By you. Cancel at any time via your account dashboard; service continues until the end of the current billing cycle.
  • By Aryna. We may suspend or terminate your access immediately for breach of these Terms or the AUP, or if required by law.
  • Sections 4 – 17 survive termination.

12.  Disclaimers

THE SERVICES (INCLUDING ALL AI-GENERATED OUTPUTS) ARE PROVIDED “AS IS,” “AS AVAILABLE” AND “WITH ALL FAULTS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARYNA AND ITS SUPPLIERS MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ERROR-FREE OPERATION, OR THAT THE SERVICES OR OUTPUTS WILL PREVENT, MITIGATE OR COMPENSATE ANY PERSONAL, PROFESSIONAL, FINANCIAL OR REPUTATIONAL LOSS. ALL OUTPUTS MUST BE INDEPENDENTLY REVIEWED BEFORE RELIANCE OR PUBLICATION.

13.  Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • (a) ARYNA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES OR FOR LOSS OF PROFITS, INCOME, GOODWILL, BUSINESS, DATA, OPPORTUNITY, REPUTATION, PERSONAL INJURY OR DISTRESS, EVEN IF ADVISED OF THE POSSIBILITY AND EVEN IF A LIMITED REMEDY FAILS.
  • (b) ARYNA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY CALENDAR YEAR WILL NOT EXCEED (i) THE FEES YOU PAID ARYNA IN THE PREVIOUS 12 MONTHS OR (ii) £10 000, WHICHEVER IS GREATER.
  • (c) Nothing excludes liability that cannot be excluded by law (e.g., fraud or wilful misconduct).

14.  Indemnification

You will defend, indemnify and hold harmless Aryna and its affiliates, officers, directors, employees and agents from any claim, loss, cost, liability or demand (including reasonable legal fees) arising out of or relating to:

  1. Your Content or use of Outputs;
  2. Your breach of these Terms, the AUP or any law;
  3. Your use of the Services in a way that causes, or is alleged to cause, personal, professional, financial or reputational loss to you or any third party;
  4. Any dispute between you and a social-media platform or other third party connected via the Services.

Aryna may assume control of the defence at its expense; you shall cooperate.

15.  Export Control & Sanctions

You may not use the Services in or for the benefit of any country or person subject to UK, EU or U.S. embargoes or sanctions, or for any prohibited end-use.

16.  Governing Law & Dispute Resolution

  • EU/UK residents: These Terms are governed by English law; courts of London have exclusive jurisdiction.
  • U.S. residents: Binding arbitration under the Federal Arbitration Act will resolve all disputes; the seat will be [County, State]. Class-action waivers apply.
  • Consumers: Your mandatory statutory rights remain unaffected.

17.  Force Majeure

Aryna is not liable for delay or failure caused by events beyond its reasonable control, including internet outages, labour disputes, governmental actions or natural disasters.

18.  Changes to These Terms

Aryna may update these Terms from time to time. We will post the revised Terms with an updated “Last updated” date and, for material changes, provide 30 days’ notice by email or in-product message. Continued use after the effective date constitutes acceptance.
